  3. 【Public Participation】Chenchi Wang of Lexcel Partners participated in a pro-bono lawyer team led and organized by the Legal Aid Foundation, Taipei Branch, to represent former RCA's workers for seeking compensation for occupational damage against RCA and its parent companies.  The court of the first instance made a judgment in April, 2015 in favor of former RCA's workers and Mr. Wang was awarded as 2015 Outstanding Pro-Bono Lawyers by the Taiwan Bar Association.

1.     Draft Amendment to the Enforcement Rules of Labor Standards Act and an Announcement on Truck Freight Transportation
 
The Ministry of Labor ("MOL") announced a draft amendment to the Enforcement Rules of Labor Standards Act on March 15, 2017, to respond to the promulgation of the amendments to the Labor Standards Act  ("LSA") at the end of last year.  The draft amendment provides more flexibility through interpretation of the relevant controversial provisions regarding "annual leaves".  Please refer to our Alert Sheet from March 20 for details:Draft Amendment to the Enforcement Rules of Labor Standards Act.  
On the same day, the MOL announced that truck freight transportation industry may apply the 8-week flexible working hours under Paragraph 3 of Article 30 of the LSA.

Criminal Code
 
2.     Draft Amendments to the Criminal Code and the Enforcement Law of Criminal Code
 
The Ministry of Justice announced the draft amendments to the Criminal Code and the Enforcement Law of Criminal Code on March 21, 2017.  We summarize the key points below.
 
(1) Crime tools or criminal gains which are located after the final/conclusive guilty judgments may be confiscated independently, unless the judgment was final/conclusive before July 1, 2016.
 
(2) The statute of limitation does not apply to criminal offenses with maximum punishment of death penalties, life imprisonment or 10 years (or more) imprisonment, namely in crimes that cause death to others, unless the statute of limitations for such criminal offenses started before the amendment and has not passed.
 
(3) Violation of the seizure order issued by civil servants under the Compulsory Enforcement Act, the Administrative Execution Act, or the Code of Criminal Procedure shall be subject to imprisonment for less than 2 years (included), detention, or a criminal fine of less than NTD200,000 (included).
 
(4) The draft amendment removes the criminal offenses of occupational negligent manslaughter and occupational negligent injury, while it raises the criminal liabilities for normal negligent manslaughter and normal negligent injury.
 
(5) The draft amendment increases the criminal liability for enhanced larceny by one-half of that for normal larceny.

3.     Draft Amendments to the Customs Act
 
The prosperity of cross-border on-line shopping has resulted in unfair competition with domestic retailers.  Therefore, the Ministry of Finance announced the draft amendments to the Customs Act on March 22, 2017.  Under the current law, imported goods with taxable value lower than NTD3,000 are exempt from customs tax, as well as the business tax and the commodity tax levied by Customs.  This threshold will be reduced from NTD3,000 to NTD2,000, according to the draft amendments.  To avoid the abuse of this tax exemption, a tax-payer who imports goods more than 6 times every half a year shall not enjoy such tax exemption.

4.     Draft Amendments to the Securities Transaction Tax Act
 
On March 23, 2017, the Finance Committee of the Legislative Yuan passed the draft amendments to Article 2-2 of the Securities Transaction Tax Act, which reduces security transaction taxes on day-trading to 1.5‰.  The effective period will be one year. The stock market is expected to be stimulated along with the escalated volumes of dealing.

5.     Draft Amendments Related to Interpretation No. 746
 
It is inappropriate to impose interests on overdue fees according to Interpretation No. 746.  To comply with the interpretation, the Executive Yuan announced the draft amendments to Article 51 of the Estate and Gift Tax Act, Article 112 of the Income Tax Act, Articles 50 and 60 of the Value-added and Non-value-added Business Tax Act, Article 31 of the Commodity Tax Act, Articles 18 and 23 of the Tobacco and Alcohol Tax Act, and Article 20 of the Charges and Fees Act on March 30, 2017 to delete the provisions in relation to imposing interests on overdue fees and imposing overdue fees and interests on surcharges for belated filing or non-filing.

6.     Draft Amendment to Fair Trade Act
 
The Fair Trade Commission ("FTC") preannounced the draft amendment to the Fair Trade Act on March 16, 2017, which will empower the FTC to conduct search and seizure.  According to the draft amendment, when investigating anti-competitive cases, the FTC may search, in order to locate or secure key evidence, the business premises, domiciles, owned buildings or other residences; vehicles; electro-magnetic records; and the physical body of the involved business operator.  Only if there are fairly reasonable grounds showing that key evidence may be in existence, the FTC may also search any third party.  The FTC shall report to the prosecutor for approval, and then apply for a search warrant with the district court having jurisdiction.  If objects eligible for evidence are located during the search, such objects may be seized.  Please refer to our Alert Sheet of March 30 for details:Draft Amendment to the Fair Trade Act.

7.     Amendment to Schedule II of Standards for Determination of Exaggerated, Misleading or Medical-Effect-Describing Food Labeling, Propaganda or Advertising Languages
 
The Ministry of Health and Welfare announced on March 16, 2017, the promulgation of the amendment to Schedule II of the “Standards for Determination of Exaggerated, Misleading or Medical-Effect-Describing Food Labeling, Propaganda or Advertising Languages”, taking effect on the same date.  The amendment is summarized below.
 
(1)   It adds allowable descriptions for physiological functions of “proteins”, shown by the following examples: “one of the source materials for muscle synthesis” and “can be used for muscle growth”; and allowable descriptions for physiological functions of “dietary fiber”, shown by the following examples: “can promote bowel movements”, “increase satiety”, “making stool softer and easier to discharge”, and “appropriate amount of dietary fiber in diet can increase stool bulk”.
 
(2)   It is corrected in the Annotation that as a premise to use the allowable descriptions for physiological functions of nutrients set forth in Schedules I and II of the Standards, the labeled nutrient “content” must comply with the “Binding Matters for Nutritional Claim of Packaged Foods” and the “Binding Matters for Nutrition Facts Labeling of Packaged Tablet of Capsule Food Products Containing Vitamins or Minerals”; otherwise, the labeled “amount of minimum daily intake” must be no lower than that set forth in Schedule II, instead of Schedule I.

8.     Taiwan and the United States signed Memorandum of Understanding concerning Intellectual Property Rights Enforcement Cooperation
 
On February 22, 2017 in Washington, D.C., the Cultural Representative Office in the United States (TECRO) and the American Institute in Taiwan (AIT) signed a Memorandum of Understanding (MOU) concerning Intellectual Property Rights Enforcement Cooperation.  This is to strengthen Taiwan and the United States in cooperative investigative responses to violations of intellectual property rights laws and trade fraud laws, and to allow the two to work together to share practices, techniques and information.  Under the framework of this MOU, Taiwan and the United States will jointly promote specific cooperation matters, such as exchange of law enforcement methodology and techniques, information sharing, training and cooperation, and improvement of knowledge on combating the import, exporting and trafficking in counterfeit merchandise and reproduction and distribution of pirated copyrighted works.

9.     Amendment to the Issues that a SITE Shall Report
 
On March 15, 2017, Financial Supervisory Commission (FSCissued a ruling (with Ref No. Chin-Guan-Zheng-Quan-Zi-1060004899) to amend the applicable scope of securities borrowing and lending where offshore overseas foreign institutional investors participate. It is not limited to specific foreign institutional investors defined in the previous ruling and removes the request for filing a declaration when the private placement of mutual funds and unit trusts apply to open a borrowed-stock account.

10. Amendment to the Regulations Governing Offshore Structured Products
 
The FSC amended the Regulations Governing Offshore Structured Products on March 3, 2017.  With respect to the qualifications for professional investors who are juristic persons or funds, the person authorized by such investors to handle transactions shall also possess adequate financial product investment professional knowledge and management experience.  In addition, juristic persons or funds meeting the qualifications of professional investors shall sign a consent letter to become a professional investor after fully understanding the liability that trustees or distributors can waive when conducting mandate transactions.  Additionally, trustees or distributors are required to set forth the assessment process for financial product investment professional knowledge and management experience that professional investors shall possess and such processes shall be incorporated in the KYC procedure and be approved by the board of directors.  The amendment will take effect 6 months after publication.

11. NCC's Ruling
 
According to Paragraphs 2 and 3 of Article 25 of the Satellite Broadcasting Act (the "Act"), a Satellite Channel and Program Supply Business shall not treat system operators equal without discrimination; and said system operators, as the National Communications Commission ("NCC") has clarified, shall include multimedia content transporting platform, such as MOD of Chunghwa Telecom.  NCC further clarified on March 28, 2017, that an Other-Type Channel and Program Supply Business, such as shopping channels, may offer its contents through said multimedia content transporting platform within a grace period of two years, starting from January 6, 2016, in accordance with Paragraph 2 of Article 64 of the Act.

12. Draft of Advanced Infrastructure Special Statue
 
The Executive Yuan preannounced a draft of the Advanced Infrastructure Special Statue on March 23, 2017, which we summarize below:
 
(1)   “Advanced infrastructure” refers to infrastructure for Railroads, Water Resources, Green Energy, Digital Technologies, and Urban-rural Classification.
 
(2)   The official budget for advanced infrastructure is capped at NTD890 billion.
 
(3)   The Statute shall come into force on the day of its promulgation, expiring December 31, 2024.
