1.     Amendment to the Equalization of Land Rights Act
 
On 27 January 2021, the President announced the amendment to the Equalization of Land Rights Act.  The amendment provides, among others, that the buyer and seller in a real estate deal shall jointly submit registration information when they apply for the registration of title transfer and they shall also fully disclose the address of the building or land lot number and the disclosure requirement applies retroactively.  In addition, the amendment provides that the deposit receipt of selling the pre-sale building, the target for sale and the price must be in writing, and such receipt cannot be sold to a third party.

2.     Amendment to the Real Estate Brokerage Management Act
 
On 27 January 2021, the President announced the amendment to the Real Estate Broking Management Act.  Among others, the amendment abolished the obligation of brokerage agencies to submit registration information in a real estate purchase and sale deal to match the amendment of the Equalization of Land Rights Act.  In addition, the time when the registration information shall be declared by pre-sale building sales agencies was changed from within 30 days after the termination of the consigned sales contract to within 30 days from the date of the sales contract was signed.

3.     Draft Amendment to the Enforcement Rules of the Estate and Gift Tax Act
 
The Ministry of Finance (MOF) announced the draft amendment to the Enforcement Rules of the Estate and Gift Tax Act for public consultation on 28 January 2021. The Amendment added the valuation rules for privately placed securities under the Securities and Exchange Act on the date of inheritance or gift. We summarize below:
 
(1)      The valuation of privately placed listed or OTC-listed securities shall be based upon the closing price on the date of inheritance or gift and the average closing price for the one month period preceding the date of inheritance or gift, whichever is lower. Where no dealing price of said securities was available on such date, the valuation shall be based upon the closing price on the last date immediately preceding the date of inheritance or gift and the average closing price for the one month period preceding such date, whichever is lower.
 
(2)      If there is no average closing price for the one month period preceding the date of inheritance or gift, the closing price on the date of inheritance or gift shall govern; If there is no dealing price of the said securities is available on such date, the closing price on the last date immediately preceding the date of inheritance or gift shall govern.

Limited Partnership Act
 
4.     Ruling on Article 35 of Limited Partnership Act
 
Limited Partnership Act provides that a limited partnership shall be dissolved upon, among others, the occurrence of “dissolution event” or expiration of “duration” (Subparagraph 1 and 2, Paragraph 1, Article 35).  In addition, where the limited partnership will continue its business operation after the dissolution events occurred, a unanimous consent from all the partners will be required (Paragraph 2, Article 35).  The Ministry of Economic Affairs (MOEA) issued a ruling on 4 February 2021 that such unanimous consent is applicable only when there is no contractual arrangement in relation to dissolution among the partners other than the “dissolution event” or “duration” in the limited agreement.  Where there are flexibilities on the “dissolution event” or “duration” among the partners provided in the partnership agreement, such contractual arrangements shall prevail.

5.     Amendment to Regulations Governing Foreign Exchange Business of Banking Enterprises
 
On 28 January 2021, the Central Bank announced the amendment to the Regulations Governing Foreign Exchange Business of Banking Enterprises. We summarize below:
 
(1)      To define "foreign currency bank debentures", and to allow authorized banks to issue foreign currency bank debentures that are linked to derivatives or are structured notes as well as making amendments to relevant compliance requirements.
 
(2)      Foreign exchange business that requires only a banking enterprise’ report to the Central Bank for record beforehand is deemed approved by the Central Bank after the banking enterprise completes the report.
 
(3)      To simplify the procedure of applying to be an authorized bank and to lower the qualification requirements so that domestic banks, the Agricultural Bank, branches of foreign banks in Taiwan and internet-only banks are subject to the same qualification requirements.
 
(4)      To stipulate the qualification requirements for operations and auditing personnel of an authorized bank’s branch which only engages in purchase and sale of foreign currency cash and traveler's checks.
 
(5)      An authorized bank shall acquire the Central Bank’s approval before engaging in foreign exchange derivatives business.
 
(6)      An authorized bank shall report to the Central Bank for record before setting up automatic teller machines that process foreign exchange business.
 
(7)      When a banking enterprise terminates its foreign exchange business, it shall turn in or apply for a new certificate of authorization or report to the Central Bank for record in a week.
 
(8)      To amend the definition of FX SWAP.
 
(9)      To amend the reporting requirements of large transaction engaged by authorized banks or the Chunghwa Post.

6.     Draft Amendment to Regulations Governing the Declaration of Foreign Exchange Receipts and Disbursements or Transactions
 
On 3 February 2021, the Central Bank announced the draft amendment to Regulations Governing the Declaration of Foreign Exchange Receipts and Disbursements or Transactions for public consultation. We summarize below:
 
(1)      To set forth the basis to determine the scope to include or not include in the declarant’s or principal’s aggregate settlement amount of the current year.
 
(2)      To include the person who holds the ROC passport but does not have National ID Cards in the definitions of non-resident individual.
 
(3)      To add that the Central Bank may issue rulings to adjust the annual aggregate settlement amount and the annual aggregate settlement amount for specific remittance purchased or sold by the declarant depending on the economic and financial situation and the need to maintain the order of foreign exchange market.
 
(4)      With evidencing documents confirmed by banking enterprises, the provision that an approval is required for a single remittance by a non-resident exceeding USD 100,000 shall not apply to the exchange settlement declaration for remittance of the share price of the original foreign shareholders of listed or Emerging Market registered foreign enterprises.
 
(5)      The Money Laundering Control Act and relevant regulations of the Financial Supervision Commission (FSC) shall apply to the know your customer (KYC) related matters such as checking the identity of the customers.

7.     Draft Amendment to Regulations Governing Implementation of the Common Standard on Reporting and Due Diligence for Financial Institutions
 
On 25 January 2021, the MOF announced the draft amendment to the Regulations Governing the Implementation of the Common Standard on Reporting and Due Diligence for Financial Institutions for public consultation. We summarize below:
 
(1)      To amend the definitions of Related Entity, Governmental Entity and Preexisting Account.
 
(2)      To delete the requirement that financial institutions concurrently operating custodial services shall be subject to a separate income threshold.
 
(3)      To amend the regulations on determining the residence of a New Entity Account Holder.
 
(4)      Reporting Financial Institutions shall report information with respect to undocumented accounts.
 
(5)      In case of a Reporting Financial Institution being eliminated due to dissolution, abolition, merger, transfer or other causes, the Financial Institution may report in advance.
 
(6)      Tax authorities may conduct necessary inspections or inquiries with Financial Institutions in accordance with relevant rules.
 
(7)      A Financial Institution may be fined under Article 46-1 of the Tax Collection Act if it fails to cooperate with tax authorities’ inspection or inquiries, fails to provide information upon request, or fails to perform its due diligence and reporting obligations.

8.     Amendment to Corporate Governance Best-Practice Principles for SITEs/SICEs
 
On 2 February 2021, the Securities Investment Trust and Consulting Association of the R.O.C (SITCA) announced the amendment to the Corporate Governance Best-Practice Principles for SITEs/SICEs.  We summarize the key points of the amendment below:
 
(1)      It is encouraged that the appointment, performance evaluation and remuneration of the internal auditor may be reported to the board of directors or reported by the head of auditor to the chairman of board for approval.
 
(2)      Adding the qualification and responsible scope of the corporate governance personnel.
 
(3)      It is encouraged to add the handling procedures for the election of directors/supervisors and proposals of shareholders meeting.
 
(4)      Adding regulations where the company has its official website, it shall provide relevant financial, business and corporate governance information to shareholders on the official website.
 
(5)      Adding regulations where the company is equipped with independent directors, such independent directors are not advised to hold the positions concurrently as the directors (including independent directors) or supervisors of more than five companies at the same time.  Also, amending the regulations for independent directors in reference of Corporate Governance Best Practice Principles for TWSE/TPEx Listed Companies.

9.     Announcement to Relevant Regulations for SITEs Raising Multi-Currency Fund with NTD through Private Placement
 
On 2 February 2021, the SITCA forwarded a ruling of the FSC which allows private placement of securities investment trust funds of multi-currency (including New Taiwan Dollar (NTD)) (multi-currency fund with NTD) by a securities investment trust enterprise (SITE), provided that the following shall be complied with:
 
(1)      The investment amount of the multi-currency fund with NTD in foreign securities shall reach 70% of the NAV of the fund or above.
 
(2)      The securities investment trust agreement of the multi-currency fund with NTD shall specify the issuance amount of NTD class and foreign currency class.
 
(3)      Where a newly established multi-currency fund with NTD is reported to the FSC, a copy of the approval letter from the Central Bank is required.  Where an established NTD fund in private placement adds foreign currency class or a multi-currency fund with NTD increases amount for private placement, the same shall apply when reporting the change of securities investment trust agreement to the FSC.
 
The reporting procedure mentioned above shall be carried out in accordance with "Q&A on Multi-Currency Fund with NTD and Foreign Currency Denominated Fund" of the FSC.

10. Draft Amendment to Regulations Governing the Offering and Issuance of Securities by Securities Issuers and other administrative rules
 
 
(1)      To define the "Innovative Board Listed Company" and "Strategic New Board Emerging Market Listed Company", which include foreign companies listed and traded on the Taiwan Innovation Board or registered on the Strategic New Board.
 
(2)      Where the "Innovative Board Listed Company" issues new shares for capital increase in cash, the company shall allocate a certain percentage of the total amount of new shares for public issuance, and shall appoint securities underwriters and lawyers to submit evaluation reports and legal opinions. In addition, the relevant regulations also set forth the period of report for effectiveness and the exemption from rejection of applications.
 
(3)      Considering that the trading volume and liquidity of common stocks listed on the Innovation Board remain uncertain, those listed on the Innovation Board will not be included in the margin trading at the beginning. The amendment excludes companies listed on the Innovation Board from applying the Standards Governing Eligibility of Securities for Margin Purchase and Short Sale.

11. Amendment to Regulations Governing Insurance Brokers and Regulations Governing Insurance Agents
 
On 9 February 2021, the FSC issued a press release to pre-announce that amendments to certain articles of the Regulations Governing Insurance Brokers and the Regulations Governing Insurance Agents will soon come into force.  Besides the draft amendments previously announced, certain amendments are further added.  We summarize below:
 
(1)      To further increase the minimum paid-in capital requirements for an insurance broker company to apply for operating insurance broker business and/or reinsurance broker business. 
 
(2)      To add requirements for insurance broker companies to conduct the reinsurance business, for example, insurance broker companies shall obtain the confirmation documents from the reinsurance insurer and deliver the complete reinsurance written documents of the reinsurance contracts to the original insurer within a certain time limit, and insurance broker companies shall provide related supporting documents to the competent authority for recordation.  Also, prior consent of the original insurer shall be obtained if an insurance broker company is planning to appoint a foreign insurance broker company, which shall also meet the certain requirements in accordance with the regulations.
 
(3)      To add that if there is any legal concern for the personnel to be elected as head of department of a bank concurrently operating insurance broker business, the regulations for reporting to the competent authority in advance for recognition shall apply.

12. Amendment to Act for the Recruitment and Employment of Foreign Professionals
 
On 27 January 2021, the President announced an amendment to the Act for the Recruitment and Employment of Foreign Professionals, which mainly replaces "minors" with "under the age of 18".  The effective date will be determined by the Executive Yuan.
