1.     Exemption from Provisional Payment of Profit-Seeking Enterprises Income Tax of 2020
 
On 30 July 2020, the Ministry of Finance (MOF) announced a ruling that, from 1 September 2020 to 30 September 2020, the profit-seeking enterprises severely impacted by COVID-19 and meeting either of the following conditions may file the application form and relevant supporting documents to the local taxation bureau to apply for exemption from provisional payment of profit-seeking enterprises income tax:
 
(1)   Being provided with relevant bail-out measures by the competent authority in accordance with the Special Act for Prevention, Relief and Revitalization Measures for Severe Pneumonia with Novel Pathogens and its relevant rules; or
 
(2)   The impact of COVID-19 resulting in a sharp decrease of operational income in a short time.

2.     Amendment to the Operation Procedures of Prohibiting the Representative and the Responsible Person from Going Abroad by the Competent Authority
 
On 10 August 2020, the Ministry of Labor announced an amendment to the Operation Procedures of Prohibiting the Representative and the Responsible Person from Going Abroad by the Competent Authority.  The amendment sets forth the documents that the competent authority shall review when determining on whether the employment termination constitutes the mass redundancy, the number of employees that the employer fails to pay the pension, severance payment and wage, the amount shall be paid by the employer together with the documents to be reviewed for the de facto responsible person.

3.     Draft Amendment to the Act Governing Electronic Payment Institutions
 
On 30 July 2020, the Executive Yuan passed a draft amendment to the "Act Governing Electronic Payment Institutions" which we summarized below:
 
(1)   Expanding the business scope of electronic payment institutions (EPIs) from the “core business of the payment flow” to the “ancillary business and derivative business related to payment flow”.
 
(2)   Except where the law prohibits otherwise, the EPIs may provide the service to collect and pay the funds of the financial products (services) as an agent.
 
(3)   Allowing the payment flow service across different EPIs and provide relevant management mechanism.
 
(4)   Providing the limits on the value saving and domestic or foreign small amount remittances on risk-based approach.
 
(5)   Removing "reconfirmation" procedure of the payment instruction to simplify payment process.
 
(6)   Relaxing the channel and process for value saving of foreign currency funds.
 
(7)   The minimum capital requirement of EPIs shall be determined based on the business operated instead of a single requirement.
 
(8)   Expand the utilization of the funds collected and paid by specialized EPIs as agents.
 
(9)   Allow the specialized EPIs to establish foreign branch.
 
(10)Provide punishment to persons spreading rumors or by fraudulent means damaging the credit of the EPIs.

4.     Regulations Governing Banks Handling Financial Products and Services for High Asset Clients
 
On 7 August 2020, the Financial Supervisory Commission (FSC) announced the Regulations Governing Banks Handling Financial Products and Services for High Asset Clients.  We summarize below:
 
(1)   The high asset clients shall meet the following qualifications:
 
(a)   Providing supporting documents that the net asset value (NAV) of the investable assets and the value of insurance products are NT$100 million or more; or the NAV of investable assets with the bank is NT$ 30 million or more, with a declaration that the NAV of investable assets and the value of insurance products held are equivalent to NT$100 million or more;
 
(b)   Having sufficient professional knowledge, trading experience and risk tolerance capacity in financial products; and
 
(c)   Agreeing to sign on as a high asset client.
 
(2)   Financial products and services applicable to high asset clients include:
 
(a)   Overseas branches or subsidiaries of domestic banks or securities firms may participate in issuance of offshore structured products, which may be invested by high asset clients;
 
(b)   OBUs may directly provide to high asset clients Taiwan stock derivatives denominated in foreign currency (with underlying of Taiwan stock index or ETF, among others) where the head office was approved to conduct;
 
(c)   High asset clients may invest in structured financial debentures denominated in foreign currency issued by domestic banks;
 
(d)   DBUs engaging in securities proprietary trading business may trade offshore structured products with high asset clients;
 
(e)   The banks conducting investment as a trustee for high asset clients or proprietary trading with high asset clients in foreign bonds are not subject to the restriction of credit rating of BB or higher;
 
(f)    The banks may establish categorized review procedures for offshore structured products themselves; and
 
(g)   The banks may provide other customized services for high asset clients as approved by the FSC.
 
(3)   In reviewing the applications by banks to engage in the financial products and services for high asset clients, their financial wellness, scale of AUM, legal compliance, effectiveness of internal control system and risk management as well as business operation ability and resources put in will be examined.

5.     Amendment to Patent Examination Guidelines
 
On 31 July 2020, the Ministry of Economic Affairs announced an amendment to the Patent Examination Guidelines, newly adding Part IV, Chapter 3 "Technical Evaluation Report on Utility Model Patent", effective as of 1 August 2020.
 
The amendment is made to promote the understanding of applicants to the relevant regulations governing technical evaluation reports and consistency of the examiner's practice of the same which we summarize below:
 
(1)   The eligibility of applicants of technical evaluation reports, the timing to request for a technical evaluation report, and the matters relating to the circumstances that the concerned utility model patent is commercially exploited by a party other than the patentee.
 
(2)   The matters with respect to which the examiner shall compare with prior art to determine in a technical evaluation report.
 
(3)   The process to complete a technical evaluation report, including the subject matter to be searched and the scope thereof.
 
(4)   The principle of delivering "Notification regarding the References Cited in the Technical Evaluation Report."
 
(5)   The matters that the examiner shall note when preparing a technical evaluation report.

6.     Regulations Governing Application for Approval of Compulsory License of Musical Works and Royalties for Use Thereof
 
On 4 August 2020, the Ministry of Economic Affairs announced an amendment to the Regulations Governing Application for Approval of Compulsory License of Musical Works and Royalties for Use Thereof which we summarize below:
 
(1)   In the application form for compulsory license, a column for exclusive licensee to be fulfilled is added.
 
(2)   Where a musical work has been exclusively licensed, the exclusive licensee shall be notified by the competent authority to state his/her opinion on the compulsory license.
 
(3)   Some provisions regarding due procedures are revised to improve the protection for exclusive licensees.

7.     Amendment to Regulations Governing of Criteria for the Label, Promotion and Advertisement of Foods and Food Products Identified as False, Exaggerated, Misleading or Having Medical Efficacy
 
On 4 August, 2020, the Ministry of Health and Welfare announced an amendment to the Regulations Governing of Criteria for the Label, Promotion and Advertisement of Foods and Food Products Identified as False, Exaggerated, Misleading or Having Medical Efficacy which we summarize below:
 
(1)   In order to prevent the misunderstanding of consumers caused from the food labeling of “Health” that the food is healthier, the labeling of commercial foods containing the wording of “Health” as a part is seen as misleading. However, the prohibition of using “Health” does not apply to the health foods approved by the Government.
 
(2)   The amendment takes effect 1 July 2021. Those who violates the above provision shall be fined between NT$40,000 and NT$400,000; and a notice shall be served for recalling the misleading packaging or correction within a prescribed period.

8.     Draft amendment to Regulations Governing Pre-sale Procedures for Insurance Products
 
On 10 August 2020, the FSC announced the draft an amendment to Subparagraph 5, Paragraph 2, Article 21 OF the Regulations Governing Pre-sale Procedures for Insurance Products for the public consultation under which the conditions for specific insurance products to be conducted by way of recordation rather than approval based on the combined score value rankings currently adopted, will be replaced by the evaluation results of the principle of fair hospitality.

(1)   For internal control systems of a placement agent, it is required to include monitor system of sales and services quality of the sales personnel (including the frequency, mechanism and audit result of monitoring).  Where the placement agent engages a trust enterprise to conduct the private placement, relevant risk monitor system must be included.  
 
(2)   It is required to check and confirm that the offshore funds under the initial report are not offshore funds which have been registered in Taiwan.

10. Amendment to Stewardship Principles for Institutional Investors
 
On 10 August 2020, the Taiwan Stock Exchange Corporation announced an amendment to the Stewardship Principles for Institutional Investors which we summarize below:
 
(1)   Including environmental, social and governance (ESG) issues as a subject to be followed by the institutional investors;
 
(2)   Enhancing the cooperation among institutional investors and encourage institutional investors to participate in relevant ESG promotion organizations;
 
(3)   Requiring institutional investors establish and disclose its voting policy;
 
(4)   Requiring institutional investors examine the effectiveness of stewardship, conflict of interest, voting policy and the execution of stewardship; and
 
(5)   Adding the contents to be included in the Stewardship Report.
