10.     Principles and Measures Governing Disclosure of the FSC Financial Examination Report
 
On September 7, 2017, the FSC announced the Principles and Measures Governing Disclosure of the FSC Financial Examination Report ("Principles"), which we summarize below:
 
(1) The subject, scope, and manner of provision of the FSC Financial Examination Report ("Report") by the examined institution  are provided:
 
           a.   Full Report may be provided to: the chairperson and general manager , head of audit department and his/her assigned audit personnel, head of compliance department of the head office and his/her assigned compliance personnel, board of directors, supervisors, or audit committee of the examined institution, and the parent company or headquarters of the examined institution;
 
          b.   Excerpts or a summary of a Report may be provided to: head of the relevant department subject to the examination opinion in the Report and assigned personnel, internal personnel whose duty requires references to the Report, subsidiary company which is involved in the Report, certified public accountant and/or engaged attorney of the examined institution, and foreign financial regulatory institution which requests for provision of the Report through the examined institution.
 
(2) The required conduct for the examined institution:
 
           a.   Stipulating relevant internal management regulations and procedures and submitting to the board of directors for approval;
 
          b.   Assigning dedicated personnel for safekeeping and provision of the Report;
 
           c.   Keeping written records of the provision of the Report;
 
          d.   For the application sent to the audit department of the institution for accessing the Report, recording in detail the application, necessity of such application, and the results of assessment and review; and the applicant shall sign confidentiality document(s) and statement of refraining from use other than the subject of the application; and
 
           e.   Submitting the improvement for examination opinions to the board of directors, supervisors, or the audit committee, including management and using of the Report in emphasis of an internal audit review.

11.     Interpretive Rule of Subparagraph 2, Article 2 of "Regulations Regarding Article 33-3 of Banking Act"
 
On September 1, 2017, the FSC announced an interpretive rule that where a bank conducts the credit extension business for which a guarantee is provided by credit agencies established upon approval by foreign central governments and the amount guaranteed by the said agencies to the same juridical person complies with the following conditions, it shall not be included in the aggregated amount of unsecured credit extensions specified in Subparagraph 2, Article 2 of the "Regulations Regarding Article 33-3 of Banking Act", provided that the amount shall still be included in the aggregated amount of credit extensions to the same juridical person regulated in the said Subparagraph:
 
(1) The bank has made assessment of the credit agencies financial conditions and repayment capability, and has stipulated a limit of risk undertaking of such agencies.
 
(2) Formal document(s) for guaranty is provided, by which the bank may claim directly against the agencies when the debtor fails to perform its debt.
 
(3) The guarantee is unconditional and irrevocable before all the guaranteed amount is repaid.

12.     Amendments to the Premium Table of Compulsory Automobile Liability Insurance
 
On September 11, 2017, the FSC and the Ministry of Transportation and Communication announced amendments to the Premium Table of Compulsory Automobile Liability Insurance, which shall take effect immediately from the date of announcement.

13.     Insurance brokerage companies, insurance agency companies and banks engaging in the above business to apply for internet insurance business
 
On September 14, 2017, the Insurance Bureau of the FSC announced that it will open the internet insurance business for insurance brokerage companies, insurance agency companies and banks engaging in the above business recently. The conditions to apply for such business are as follows:
 
(1) Already establishing and implementing the internal control and audit system and business solicitation system and procedures in accordance with the Regulations Governing the Implementation of Internal Control and Audit System and Business Solicitation System of Insurance Agency Companies and Insurance Brokerage Companies.
 
(2) Not receiving a material penalty imposed by the competent authority or fines accumulating to NTD 1,000,000 in the most recent year, or the relevant violation being improved which was recognized by the competent authority.
 
(3) Already engaging a certified public accountant to audit the annual financial statement.
 
(4) Obtaining the certification of ISO27001 and establishing the network traffic cleaning mechanism for distributed denial-of-service attacks.

14.     Amendment to Guidance for Reviewing Labor-Related Professionals in Mainland China to Engage in Labor-Related Professional Activities in Taiwan
 
On September 7, 2017, the Ministry of Labor amended the Guidance for Reviewing Labor-Related Professionals in Mainland China to Engage in Labor-Related Professional Activities in Taiwan.  According to the amendment, the competent authority was changed to the Ministry of Labor from the Labor Commission of the Executive Yuan, and the title of the "Regulations Governing Permission for Professionals in Mainland China to Engage in Professional Activities in Taiwan" was changed to the "Regulations Governing Permission for People in Mainland China to Enter into Taiwan".  The amendment took effect on the same day.

15.     Interpretive rule of Paragraph 1, Article 34 of the Construction Industry Act
 
On September 11, 2017, the Ministry of Interior announced an interpretation to Paragraph 1, Article 34 of the Construction Industry Act, on the full-time engineers of construction enterprises concurrently assuming other operations or positions and practice of duty, which we summarize below:
 
(1) Associations of technicians or architects shall prepare a comprehensive list of their members concurrently assuming operation or positions and submit such list to the MOI for approval; where any change is made to such list during the year, such change shall be submitted to the Ministry for approval.
 
(2) A full-time engineer shall only concurrently assume other operations or positions if his/her duty in the construction enterprises is not affected, and consent of the responsible person of the employer construction enterprises of such engineer is obtained.  An agreement shall be entered into that other operations or positions concurrently assumed shall not lead to any violation of the Construction Industry Act.
 
(3) Upon finding apparent difficulty or possible public danger before or during construction of a project under which he/she is employed, a full-time engineer shall immediately report to the responsible person of the construction enterprise or take necessary actions.

16.     Draft Amendment to the Scope of Significant Infrastructure under the Act for Promotion of Private Participation in Infrastructure Projects
 
On September 7, 2017, the Ministry of Finance preannounced the draft amendment to the Scope of Significant Infrastructure under the Act for Promotion of Private Participation in Infrastructure Projects, which we summarize below:
 
(1) The amendment deletes the "significant" from the category name of "significant" tourism and recreation felicities, "significant" industrial facilities, "significant" commercial facilities and "significant" technology facilities.
 
(2) A new category and the definition of "governmental building" was added.

17.     Amendment to Examination Guidelines for Non-Traditional Trademarks
 
On September 12, 2017, the Ministry of Economic Affairs announced the amended Examination Guidelines for Non-Traditional Trademarks, taking effect on the same date. This amendment introduces two sections on repeating-pattern marks and scent marks respectively, focusing on the issues regarding mark description, distinctiveness, and functionality. For example, a text description of a scent mark may be submitted. However according to Art Article 19 of Taiwan Trademark Act, the text description shall be clear, precise, self-contained, objective, durable, easily accessible and intelligible. If a text description of the results of physical/chemical analysis of odor molecules does not convey the perceived impression of the scent, this mark description will not satisfy the requirement of being accessible and intelligible.

18.     Promulgation of Technical Specifications for Set-Top Box for Multimedia Content Transferring by Fixed Network Telecommunications and Amendment to Article 33 of the Regulations for Administration on Fixed Network Telecommunications Business
 
On August 22, 2017, the National Communications Commission announced the Technical Specifications for Set-Top Box for Multimedia Content Transferring by Fixed Network Telecommunications, and amendment to Article 33 of the Regulations for Administration on Fixed Network Telecommunications Business.  According to the said regulations, the local network business operator may only provide its customers with set-top boxes which are qualified under examination from January 1, 2019, and set-top boxes cannot be imported or sold after October 1, 2018 unless they pass statutory qualification tests.
